The short version

Use our tools however you like — personal, commercial, whatever. Just don't do anything illegal with them, and don't try to break anything. That's basically it. These Terms of Service govern your use of the ToolsKit website and all tools available on it. By accessing or using ToolsKit, you agree to these terms in full.

We've tried to write these terms in plain language. If anything is unclear, please reach out to us before using the site. These terms constitute a legally binding agreement between you and ToolsKit.

Acceptance of terms

By accessing or using ToolsKit, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you should not use our tools or access the site. Your continued use of the site following any changes to these terms constitutes acceptance of those changes.

Using our tools

All tools are free for personal and commercial use. No account needed. You can use them for client work, school projects, side hustles, business purposes, or any other legitimate use. There is no limit on how many times you can use the tools, and there are no hidden fees or premium tiers.

You are granted a non-exclusive, non-transferable, revocable license to access and use the tools on this site for any lawful purpose. This license does not include the right to reproduce, distribute, publicly display, or create derivative works based on the site content.

What you can't do:

  • Use the tools for anything illegal, harmful, or in violation of any applicable law or regulation
  • Try to hack, overload, or break the site or its underlying infrastructure
  • Scrape the site content, use automated bots, or perform any form of systematic data extraction
  • Repackage, resell, or distribute our tools as your own product or service
  • Attempt to reverse-engineer, decompile, or extract the source code of any tool or feature
  • Use the tools to build a competing product or service that replicates ToolsKit's functionality
  • Interfere with or disrupt the site's performance, availability, or security measures

User responsibilities

You are solely responsible for the content you process using our tools. This includes ensuring that any files, documents, or text you upload do not violate any laws, infringe on third-party rights, or contain malicious content. You agree not to use ToolsKit to process documents containing malware, phishing content, or other harmful material.

You are also responsible for verifying the accuracy of any output produced by our tools before relying on it for important decisions. Our tools are designed to assist you, not replace your judgment. For example, our GPA calculator provides an estimate, but your school's official calculation may differ. Our resume tools provide feedback based on general heuristics, but they cannot guarantee interview callbacks or job offers.

Intellectual property

The site design, code, UI components, branding, logos, and original content are the intellectual property of ToolsKit and are protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, publicly display, or create derivative works from any substantial portion of the site without our written permission.

However, we encourage learning and building. If you want to create something similar, you're welcome to build your own version from scratch — just don't copy our specific implementation. Open-source tooling for PDF processing, resume analysis, and text manipulation is widely available, and we'd rather you build something great than copy something that already exists.

The JavaScript code that powers our tools is delivered to your browser in a form that can be inspected, but this does not grant you any rights to copy, redistribute, or modify that code. Viewing source code in a browser is a normal part of web browsing and does not constitute a license to use that code.

What you produce

Anything you create using our tools is 100% yours. We claim no rights over your PDFs, resumes, citations, calculations, or anything else you make with ToolsKit. You retain full ownership and intellectual property rights over all output generated by our tools.

Because all processing happens in your browser and files never leave your device, you maintain complete control over your content at all times. We have no access to, and claim no rights over, any documents you process.

Accuracy and reliability

We do our best to ensure our tools are accurate and reliable, but we can't guarantee that every tool produces perfect results every time. Our tools are provided for informational and convenience purposes only.

Specifically, you should be aware that:

  • GPA calculations may not account for all grading scales, weighted courses, or institutional variations
  • ATS score estimates are based on general heuristics and may not reflect how specific ATS software evaluates resumes
  • Citation generators rely on parsing logic that may not handle every source format perfectly
  • PDF processing may have edge cases with unusual file structures

Always double-check important results before using them for anything critical. Use common sense and professional judgment. For more details on tool limitations, see our disclaimer.

Limitation of liability

To the maximum extent permitted by applicable law, ToolsKit and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the site or its tools. This includes, but is not limited to, damages for loss of profits, data, goodwill, or other intangible losses.

In no event shall our total liability to you for all claims exceed the amount you paid us to use the tools — which is zero, because the tools are free. The site and all tools are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

This limitation applies regardless of the theory of liability — whether based on contract, tort, negligence, strict liability, or any other legal theory. Because some jurisdictions do not allow the exclusion or limitation of certain damages, our liability in such jurisdictions shall be limited to the maximum extent permitted by law.

Service availability

We strive to keep ToolsKit available and running smoothly, but we do not guarantee uninterrupted access. The site may be temporarily unavailable due to maintenance, updates, hosting issues, or circumstances beyond our control. We are not liable for any inconvenience or loss resulting from site downtime or inability to access the tools at any particular time.

We run on Cloudflare's infrastructure, which provides high availability and global CDN coverage. However, even the most reliable hosting can experience outages. We recommend saving your work locally when processing important documents, in case of unexpected downtime.

Modification of terms

We reserve the right to modify these terms at any time. If we make major changes that affect your rights or obligations, we'll note it on the site. The "Last updated" date at the top of this page indicates when these terms were last revised. Continued use of the site after changes are posted means you accept the updated terms.

We will not apply material changes retroactively. If you disagree with any changes to these terms, your remedy is to stop using the site. We encourage you to review these terms periodically to stay informed about any changes.

Governing law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Dispute resolution

Any disputes arising from or relating to these terms or your use of ToolsKit shall first be attempted to be resolved through informal negotiation. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States.

To the extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Before initiating formal dispute resolution, please contact us. Many issues can be resolved quickly through direct communication, and we prefer to resolve problems informally whenever possible.

Indemnification

You agree to indemnify, defend, and hold harmless ToolsKit and its operators from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the site, your violation of these terms, or your violation of any rights of a third party.

Third-party content and links

ToolsKit may contain links to third-party websites or resources. We are not responsible for the availability, accuracy, or content of these external sites. The inclusion of any link does not imply endorsement. You access third-party sites at your own risk and should review their terms and privacy policies.

Termination

We reserve the right to restrict or terminate your access to ToolsKit at any time, without notice, for any conduct that we believe violates these terms or is harmful to other users, us, or third parties, or for any other reason. Upon termination, your right to use the site ceases immediately.

Changes
